1. Agreement to Terms

By accessing or using BizAlerts (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. The Service is operated by BizAlerts, a UK-based service ("we", "us", or "our").

2. Description of Service

BizAlerts provides a subscription-based service that delivers daily email alerts of newly registered UK companies and charities, filtered according to your preferences. The Service includes:

  • Daily email alerts with CSV exports of matching companies
  • Optional webhook integration for platforms like Slack, Discord, Microsoft Teams, and custom endpoints
  • Filtering by industry (SIC codes), region, and charity status
  • 7-day free trial period followed by £7.50/month subscription

The Service processes publicly available data from Companies House and the Charities Commission. You acknowledge that this data is provided "as is" and we make reasonable efforts to ensure accuracy, but cannot guarantee completeness or timeliness of third-party data sources.

3. User Responsibilities

You agree to:

  • Provide a valid email address for receiving alerts
  • Maintain the confidentiality of your preferences and unsubscribe tokens
  • Use the Service in compliance with all applicable laws and regulations
  • Not use the data for spam, unsolicited marketing, or other abusive purposes
  • Not resell, redistribute, or commercially exploit the Service or data without authorization
  • Not attempt to circumvent any limitations, filters, or access controls
  • Not use automated tools to scrape or extract data beyond what is provided in alerts
  • Ensure webhook URLs you configure are secure and under your control

4. Acceptable Use of Data

The company data provided through BizAlerts is sourced from publicly available government databases. By using this Service, you acknowledge that:

  • You will use the data for legitimate business purposes such as market research, sales prospecting, or business intelligence
  • You will comply with UK GDPR and data protection laws when processing company information
  • You are responsible for obtaining appropriate consent before contacting companies for marketing purposes
  • You will not use the data to harass, intimidate, or conduct illegal activities
  • You understand that company data may become outdated and should verify critical information independently

5. Subscription and Payment

The Service operates on a subscription model with the following terms:

  • Free Trial: 7-day free trial period begins when you subscribe and set your preferences
  • Subscription Fee: £7.50/month charged after the trial period ends
  • Auto-Renewal: Your subscription automatically renews monthly until you cancel
  • Payment Method: All payments are processed securely through Stripe
  • Billing: You authorize us to charge your payment method on a recurring basis
  • Failed Payments: If payment fails, your account may be suspended or canceled

You must provide accurate billing information and keep it up to date through the Stripe Customer Portal.

6. Cancellation and Refunds

  • Cancellation: You may cancel your subscription at any time via the unsubscribe link in emails or through the Stripe Customer Portal
  • Effective Date: Cancellations take effect immediately, and you will not receive further alerts
  • Trial Period: You may cancel during the trial period without being charged
  • No Refunds: We do not provide refunds for partial subscription periods. If you cancel mid-month, you will not receive a prorated refund
  • No Credits: Unused alerts or days do not carry over or accumulate

7. Service Availability

We make reasonable efforts to provide reliable service, but we do not guarantee:

  • Uninterrupted or error-free access to the Service
  • That alerts will be delivered at a specific time each day
  • That third-party data sources (Companies House, Charities Commission) will be available or accurate
  • That webhook deliveries will succeed if your endpoint is unavailable
  • That email deliveries will succeed if your email provider blocks or filters our messages

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will provide reasonable notice for significant changes affecting paid subscribers.

8. Intellectual Property

The Service, including its software, design, branding, and functionality, is owned by BizAlerts and is protected by copyright, trademark, and other intellectual property laws.

The underlying company data is provided by government sources and is subject to the Open Government Licence. You may use this data in accordance with that license and these Terms. Our value-added filtering, formatting, and delivery mechanisms are proprietary.

9. Webhook Integration

If you configure webhook integration, you acknowledge that:

  • You are responsible for the security and privacy of data sent to your webhook URL
  • Webhook deliveries are provided on a "fire-and-forget" basis with no guaranteed retries
  • We will timeout webhook requests after 10 seconds
  • Failed webhook deliveries do not affect email delivery
  • You are responsible for any third-party platform fees (e.g., Slack, Zapier)
  • We are not responsible for how third-party platforms process or store webhook data

10. Limitation of Liability

To the fullest extent permitted by law, BizAlerts and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Any errors, omissions, or inaccuracies in company data
  • Failed email or webhook deliveries
  • Business decisions made based on data provided by the Service
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of the Service
  • Third-party data source failures or inaccuracies

In no event shall our total liability to you for all claims exceed the amount paid by you for the Service during the twelve (12) months prior to the claim, or £100, whichever is lower.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

  • The Service will meet your specific requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • The data provided will be accurate, complete, or current
  • Any defects or errors will be corrected
  • The Service is suitable for any particular business purpose

12. Indemnification

You agree to indemnify, defend, and hold harmless BizAlerts and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your use of the Service or data provided
  • Your violation of these Terms
  • Your violation of any third-party rights, including privacy or data protection laws
  • Your use of webhook integrations or third-party platforms
  • Any marketing or business activities conducted using data from the Service

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Suspected fraudulent or illegal activity
  • Abusive or excessive use of the Service
  • Failed payment for subscription
  • Request by law enforcement or regulatory authorities

Upon termination, your right to use the Service will immediately cease. We are not obligated to provide refunds for terminated accounts.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

If you do not agree to the modified Terms, you must cancel your subscription before the changes take effect.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BizAlerts regarding the Service and supersede all prior agreements and understandings, whether written or oral.
